1) Scope

This is a non-exclusive Royalty-Fair license for Minor Placements only.

It allows use of GRAUX sounds in independent projects as long as the Project remains Minor.

This license does not grant rights for Major Placements.
Major Placements require prior written clearance and separate agreements (publishing split-sheet + master clearance).

No ownership is transferred.

2) Definitions

• 
  Project: any musical work using GRAUX sounds.
  
• 
  Major Label: Universal, Sony, Warner, or companies they control (>50%).
  
• 
  Independent: not signed, released, or significantly funded (>10%) by a Major Label.
  
• 
  Streams: paid streams and equivalent views (e.g., YouTube views per industry standards) based on official platform reports.
  
• 
  Minor Placement: Independent Project under 1,000,000 total Streams.
  
• 
  Major Placement: Project signed/released/funded by Major Label or reaching ≥1,000,000 Streams.
  

3) What Royalty-Fair Means (Minor Only)

Royalty-Fair for Minor Placements means:

• 
  No royalties owed (publishing or master).
  
• 
  Mandatory credit to GRAUX.
  
• 
  If the Project becomes Major, this license automatically stops covering that Project and clearance is required.
  

4) What You Can Do (Minor Only)

You may:

• 
  Use GRAUX sounds in Projects.
  
• 
  Release music while Minor.
  
• 
  Sell beats and keep 100% of beat sales revenue.
  
• 
  Monetize music while Minor.
  

5) Credits (Always Required)

Producer: GRAUX
Songwriter: Sébastien GRAUX

Example:
“Prod. by GRAUX – Written by Sébastien GRAUX”

Failure to credit is a breach.

6) Major Trigger – When to Contact GRAUX

Contact GRAUX for clearance:

• 
  At least 7 days before release if Major Label / major funding / major artist involved, or
  
• 
  Within 48 hours after crossing 1,000,000 Streams, with official platform reports.

At that point:

• 
  This Minor License no longer applies.
  
• 
  Separate agreements will be issued (publishing split-sheet + master clearance).
  

7) Selling Beats & Transmission

• 
  You must transmit these rules (email or attached document is enough).
  
• 
  You remain responsible for 12 months if they breach due to your failure to transmit properly.
  
• 
  No sublicensing without written approval.
  

8) Sync, Brands & Special Markets

Any use in film/TV/ads/games/brands, or markets with special music regulations (e.g., China or other jurisdictions requiring prior licensing), requires written clearance before release.

9) Breach & Fix Process

You will be contacted.
You have 14 days to fix.
If not fixed:

• 
  Takedown requests will happen.
  
• 
  License will be terminated.
  
• 
  Financial regularization may apply (e.g., $0.01 per excess stream + proven damages, capped at 2x estimated revenue from breach).
  

Goal: fix first, punish only if ignored.

10) Legal Basics

• 
  Non-exclusive, personal, non-transferable.
  
• 
  No refunds.
  
• 
  GRAUX warrants ownership and originality to the best of its knowledge.
  
• 
  Sounds provided “as is”.
  
• 
  You indemnify GRAUX for damages from your breach.
  
• 
  GRAUX liability limited to purchase price.
  
• 
  Compliant with Berne Convention and international copyright law.
  
• 
  You must provide stream reports upon request if nearing Major threshold.
  
• 
  GRAUX may audit streams with reasonable notice.
  
• 
  Florida law, Miami-Dade jurisdiction.
  
• 
  Entire agreement; no amendment unless written by both.
  
• 
  No waiver by delay.
  
• 
  Severability.
  
•
